TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION
PREAMBLE
The Breeders, Owners, and Fanciers of the TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION have organized themselves and affiliated with the UNITED KENNEL CLUB INC. for the express purpose of advancing the principles of the UNITED KENNEL CLUB INC., and for the betterment of the TREEING WALKER COONHOUND BREED as a while and to influence the breeding of a better and finer TREEING WALKER COONHOUND.
That inherent among the privileges of the American citizens are the right to choose the breed and type of their choice and to work collectively toward the betterment of the breed and type.
We accept these principles and subscribe to them as members of the TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION.
CONSTITUTION
ARTICLE 1
Name
This organization shall be known as the TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION, whose home office shall be the residence of the President of said organization.
ARTICLE II
Purpose
Section A
To Create a closer relationship and instill confidence between breeder, owner, and fancier of the TREEING WALKER BREED, so that we may be able to improve the breed beneficial to all concerned in accordance with the standards set forth by the UNITED KENNEL CLUB, INC. Registering Office, Kalamazoo Michigan.
Section B
In fulfillment of the above, the TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION is formed for the following purposes:
1. To negotiate collectively with the UNITED KENNEL CLUB, INC, with regard to matters of Breed, Standard, and all Registered Events including Nite Huntes, Bench Shows, Water Races, Field Trials etc., that are licensed by the UNITED KENNEL CLUB, INC. which would be in teh best interest and promotion of both the UNITED KENNEL CLUB, INC, and the TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION, relative to the TREEING WALKER BREED.
2. To consider facts and conditions of any changes in the TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION that would promote the highest value of the TREEING WALKER BREED.
3. To secure and protect all legal rights and benefits and privileges conferred upon said ASSOCIATION by the UNITED KENNEL CLUB, INC. or and Federal, State, or Local Law
4. To maintain, safeguard and further the principles of the TREEING WALKER BREED standard, the principles of American Democracy, and to prevent its members from being subjected to restrain or coercion on the part of any individual or group.
5. To engage in concerted activities or other mutual aid and protection of the TREEING WAKER COONHUND BREED.
ARTICLE III
Membership
Section A
All or any breeder, owner and/or fancier of the TREEING WALKER COOHHOUND BREED regardless fo sex, race, creed or color may be eligible for membership in said organization provided however, that no member shall advocate the overthrow of Government of the United States of America by unconstitutional methods.
ARTICLE IV
Expulsion of Member
Section A
Any member of the ASSOCIATION may be expelled by a majority of the officers and directors, voting by secret ballot, for conduct by word, deed or act detrimental to said ASSOCIATION.
Section B
Any member of the ASSOCIATION so expelled shall have the right to appeal to the membership for reinstatement. The said appeal shall be made in writing and shall be in the hands of the Secretary of the ASSOCIATION within thirty (30) consecutive days after said expulsion. The appeal for reinstatement shall be granted upon a two-thirds majority vote of the members present and shall take place at the annual meeting of the ASSOCIATION. Voting on said appeal shall by secret ballot.
Section C
Any member of the ACCOSIATION barred by the UNITED KENNEL CLUB, for any reason, shall be expelled from the TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION for the same length of time.
ARTICLE V
Officers
Section A
All members of the ASSOCIATION shall be represented at the regular meeting of the ASSOCIATION by their officers who have been duly elected for this purpose.
Section B
The officers of the ASSOCIATION, all of whom must be members in good standing, shall consist of a President, Vice President, Secretary, and a Treasurer. All officers to be elected for a team of one (1) year.
1. A Board of Directors, consisting of twelve (12) members in good standing, elected as follows: Four (4) for a term of three (3) years; four (4) for a term of two (2) years; and four (4) for a term of one (1) year each. The Chairman and of the Board of Directors shall be elected by secret ballot by the Board of Directors, Chairman to be selected from the (4) directors who have been elected for a term of three (3) years
a. The immediate Past President shall be appointed to the Board of Directors for a term of one (1) year
b. Directors at Large shall be three (3). Directors shall be appointed to the Board of Directors for a one (1) year term, that are selected by an Executive Committee (consisting of the President, Vice President, Secretary, and Treasurere) and voted on by the Board of Directors, from areas not represented by the present Board Members. This shall be done immediately after the membership meeting..
2. In the event of a resignation, death, or expulsion of the Treasurer, all monies fo the ASSOCIATION shall automatically go into the hands of the Board of Directors where it shall remain until a new treasurer is appointed by the Executive Board, during the interim, check on the ASOCIATION shall be countersigned with the President by the Chairman of the Board of Directors. Furthermore, in the event on a legal collection of the ASSOCIATION monies, the Board of Directors shall be the receivers of said money.
The Board of Directors is a connecting link between the Officers and the Membership. The Board plays an important part in developing projects, policies, and personnel to carry out all of the activities of the ASSOCIATION.
ARTICLE VI
Membership
Section A
Any person interested in the TREEING WAKER COONHOUND BREED may become a member of the ASSOCIATION subject to the approval of the Board of Directors.
Section B
The dues shall be fifteen dollars ($15.00) per year. This may include wife and children under sixteen (16) years of age.
ARTICLE VII
Annual Meeting
Section A
The annual meeting of the ASSOCIATION shall be at the regular meeting held during the ANNUAL U.K.C. TREEING WALKER DAYS in April of each year. The Officers and Board of Directors shall meet as often as necessary.
ARTICLE VIII
Annual Walker Days
Section A
THE TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION will hold their ANNUAL WALKER DAYS under U.K.C. Rules and U.K.C. license. However, if the ASSOCIATION desires, they may hold any number of licensed events they wish.
1. It is also in agreement with the UNITED KENNEL CLUB INC. that the TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION shall have a voice in the following;
a. A voice in the rules of the Night Hunts, Bench Shows, Water Races, and Field Trials.
b. A voice in the single registration of the TREEING WALKER BREED.
2. This article of CONSTITUTION shall not be subject to change at the present or in the future.
ARTICLE IX
Officers Duties
Section A
President:
The President shall be elected for a one (1) year term but may be elected no more that five (5) consecutive terms.
The President shall preside over all meetings of the membership, Board of Directors and Executive Committees at which he may be present.
To be the executive head of the TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION he shall have the authority to appoint any and all committees as he may deem necessary to carry out the business and interest of the ASSOCIATION.
He shall countersign all checks and all membership cards written on and in behalf of the ASSOCIATION. Checks countersigned with the Treasurer, membership cards countersigned with the Secretary.
The President shall be selected from the Board of Directors and shall have served a minimum of one (1) year.
Section B
Vice President:
In the absence of the President, the Vice President shall serve in the same capacity as the President. He shall have the same powers and authority as vested in the President.
He shall assist the President when and where possible in all matters pertaining to the business of the ASSOCIATION.
Section C
Secretary:
To keep an accurate account of the minutes of all of the regular and special meetings of the ASSOCIATION.
To keep an accurate record of all memberships in the ASSOCIATION.
In the event of the absence of the President and Vice President the Secretary shall preside at all meetings of the ASSOCIATION with the same powers vested in the president.
He shall countersign all membership cards with the President of the ASSOCIATION.
The Secretary shall be elected for five (5) year term and shall be eligible for re-election. The first of these years shalll be shared with the past Secretary, and fifth (5th) with the next Secretary.
Section D
Treasurer:
To keep an accurate account of all monies received from the members of the TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION and all monies received from all events sponsored by the TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION.
To make deposits in a bank were deposits are insured, the ASSOCIATION monies.
To countersign all check with the President that may be written on the TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION’S account.
To provide the ASSOCIATION with a faithful performance bond of five thousand dollars ($5,000.00), the cost of which is to be paid by the TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION.
To deliver to his successors all monies, records, and papers pertaining to his office which may be in his possession.
In the event of the absence of the President, Vice President, and the Secretary, the Treasurer shall preside at all meeting with teh same powers and authority vested in the President.
The accounts of the Treasurer shall be audited every twelve (12) months by a committee appointed by the President. The business shall come under the heading of Old Business.
Section E
To replace Board of Directors vacancies, the next highest vote in the last annual election will fill board vacancy.
Any officer or director who resigns, either verbally or written, shall not be eligible for any election for a period of three (3) years from the date of the resignation.
ARTICLE X
Amendments
This Constitution may be amended at any regular meeting by a two-thirds majority of the members present in favor of said amendment with the exception of ARTICLE VIII of the Constitution of the TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION, which shall not be changed or amended.
BY-LAWS
Section A
Any member of the TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION who becomes delinquent may be dropped from the membership roll at the discretion of the Officers of the TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION.
Section B
No member shall be eligible for nomination for the office of TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION until after he or she shas been a member in good standing for a period of one (1) year in the ASSOCIATION.
Section C
A member who has reached sixty-five (65) and has been a paid member ten (10) or more years shall become a lifetime member and is no longer required to pay dues.
ARCTICLE XI
Order of Business
Section A
The following Order of Business shall prevail at all meetings of the TREEING WALKER BREEDERS AND FANCIERS ASSOCIATION
